Our No-Loss Guarantee is designed to give schools and other fundraising organisations confidence when ordering calendars to sell to their supporters.
If you’ve made a genuine effort to sell your calendars but haven’t recovered the cost of your qualifying order, we’ll refund the shortfall, subject to the conditions below.
This is an invitation-only offer. It applies only where expressly confirmed in your Order Acknowledgement and is not automatically available on every fundraising order.
The guarantee protects your qualifying calendar order cost. It does not guarantee a fundraising profit or cover separate expenses incurred when selling your calendars.
1. Who is eligible?
The guarantee is available by invitation to schools, PTAs, charities, clubs and other organisations carrying out fundraising activities.
Where an invitation is addressed to a school, an authorised PTA, Friends association or other fundraising body may place the qualifying order on the school’s behalf, provided we agree and identify the contracting customer in the Order Acknowledgement.
Unless we agree otherwise in writing, the guarantee is limited to the first qualifying order under the invitation and to delivery within the UK mainland.
The guarantee applies only to the products, quantities and associated charges expressly covered in your Order Acknowledgement.
You can request a different calendar quantity from any example shown in your mailing. We’ll confirm whether your chosen quantity and specification are eligible before accepting your order.
We’ll make clear whether the guarantee applies before your order is accepted. Once incorporated into an accepted order, we won’t withdraw or change the guarantee for that order without your agreement.
Any promotional discount is subject to its own conditions. Using a discount code does not, by itself, activate the guarantee. A promotional discount and the guarantee can apply to the same order where both are expressly confirmed.
The person placing the order must have reasonable authority to act on behalf of the organisation named in the Order Acknowledgement.
2. What do you need to do?
To qualify for the guarantee, you must:
Make a genuine effort to sell your calendars. This could involve offering them for sale at a school event, promoting them through a newsletter, sharing them with supporters online or another reasonable selling activity. One genuine selling effort is sufficient.
Use the agreed selling price. Your calendars must be offered for sale at no more than £1 above or below the suggested selling price confirmed in your Order Acknowledgement, unless we agree a different price in writing.
Keep basic records. You’ll need a simple record of your selling activity, the number of calendars sold and the income received.
Return your unsold calendars. If you make a claim, we’ll arrange collection of the remaining unsold calendars at our expense. Calendars that cannot be returned won’t qualify as unsold stock for the refund calculation.
There is no minimum number of calendars you must sell. A genuine selling effort can qualify even if no calendars are sold.
You may also take pre-orders before receiving your printed calendars. Any completed sales, including fulfilled pre-orders, count towards your sales income.
We don’t expect an elaborate fundraising campaign or detailed customer records. A reasonable effort to offer the calendars to your intended supporters is enough.
The guarantee is intended to protect you against disappointing sales, rather than a decision not to attempt fundraising at all.
3. How to make a claim
If your calendar sales haven’t covered your qualifying order cost, email sales@thinkpromote.co.uk within 60 calendar days of receiving your calendars.
Where a qualifying order is delivered in more than one consignment, the 60-day period begins when the final qualifying consignment is delivered.
You must contact us within this period, but the return and verification process can be completed afterwards.
Please include:
Your order reference and a simple summary showing how many calendars were sold, the selling price and the total sales income.
Evidence of your selling effort, such as a newsletter, event notice, social media post or another reasonable record of how the calendars were offered for sale.
Confirmation of the number of unsold calendars available for collection.
We may ask for clarification where the information is incomplete or the quantities don’t appear to match. We’ll explain what we need and give you a reasonable opportunity to provide it.
We won’t require an elaborate sales report or the personal details of the people who bought your calendars.
If exceptional circumstances have prevented you from contacting us within the claim period, please explain what happened. We’ll consider reasonable requests for an extension, including circumstances where a delay or problem on our part affected your opportunity to sell.
Returning your unsold calendars
We’ll arrange and pay for collection of the unsold calendars covered by your claim.
Please keep the calendars reasonably protected and available for collection within 14 calendar days of our collection instructions, unless we agree another arrangement.
Normal handling associated with attempting to sell the calendars won’t prevent a return. Calendars should, however, remain in a reasonable condition for collection and verification.
Once the calendars have been handed to our appointed carrier in accordance with the collection instructions, responsibility for loss or damage during the return journey passes to us.
We’ll check the returned quantity against your sales records and the quantity supplied.
If there is a discrepancy, we’ll discuss it with you before making any adjustment.
Calendars that cannot be returned
Unsold calendars must be returned to qualify for a refund.
We won’t refund the proportion of your qualifying order cost attributable to any unsold calendars that cannot be returned, including those given away, lost, disposed of or retained after delivery.
We’ll calculate this proportion using the qualifying order cost and the quantity supplied, after discounts and applicable adjustments.
Calendars that have been sold do not need to be returned, as their sales income is accounted for separately.
We won’t make a deduction for calendars lost or damaged while in the care of our appointed collection carrier, or for a shortage or damage for which Think Promote is responsible.
A discrepancy affecting part of your order won’t automatically invalidate an otherwise genuine claim for the remaining qualifying calendars.
4. How we calculate your refund
The guarantee covers the difference between your qualifying order cost and the income from your calendar sales, subject to the conditions below.
Your qualifying order cost
Your qualifying order cost includes the agreed cost of the eligible calendars, together with any artwork assembly, production options and UK mainland delivery charges expressly included in the guarantee for your accepted order.
We calculate this after promotional discounts and any relevant credits or price adjustments.
Costs that are not identified as qualifying in the accepted order are excluded. We’ll make any such exclusions clear before your order is accepted.
Where unsold calendars cannot be returned, we’ll deduct the proportion of the qualifying order cost attributable to those copies before calculating the refund.
Your calendar sales income
We use the actual income from calendars sold, including completed pre-orders and any payments retained for calendar sales.
Where you are required to account for VAT on those sales, we take account of the VAT payable when determining the income available to cover your order cost.
Separate fundraising expenses, such as event costs, payment-processing fees or postage to individual supporters, are not deducted from sales income.
Where calendars are sold below the minimum permitted price without our agreement, we may count those copies at the minimum permitted price when calculating the guarantee.
A minor pricing error won’t automatically invalidate the whole claim. However, a deliberate or material departure from the agreed pricing conditions may affect eligibility.
How VAT is treated
For organisations that cannot recover VAT on their purchase, we’ll calculate the shortfall using the order cost including VAT and the income received from calendar sales.
If you can recover some or all of the VAT on your order, or must account for VAT on your calendar sales, we’ll take this into account when calculating your refund. This includes any changes to your VAT recovery resulting from the refund itself.
We’ll issue the appropriate VAT credit documentation where required and explain any adjustments in your refund calculation.
The guarantee is intended to cover your actual qualifying shortfall without allowing VAT to be recovered twice.
Paying your refund
Your guarantee payment cannot exceed your qualifying order cost.
If you’ve already paid your order in full, we’ll refund the approved amount.
If there is an outstanding invoice, we’ll issue the appropriate credit against that invoice and refund any remaining amount due to you.
We’ll aim to review the information you provide within 14 calendar days of receiving everything reasonably needed to assess your claim. Where a return is required, verification will also depend on receiving and checking the returned calendars.
We’ll pay approved claims within 14 calendar days of completing verification.
If a claim requires further investigation, we’ll explain the reason and keep you informed. We won’t delay payment of an agreed amount without good reason.
5. Examples
These examples illustrate how the guarantee works. Actual refunds depend on your accepted order, sales records, VAT position and the conditions of your guarantee.
A successful claim
A primary school orders 200 fundraising calendars for £764.10 including VAT and UK mainland delivery, after its promotional discount.
The suggested selling price is £11.99 per calendar.
The school promotes the calendars through its parent newsletter and offers them for sale at its Christmas fair. Unfortunately, sales are lower than expected.
The school sells 30 calendars at £11.99 each, receiving £359.70. It has 170 unsold calendars remaining.
Within 60 days of delivery, the school contacts us and provides its sales summary, a copy of the newsletter and confirmation that the remaining calendars are available for collection.
We arrange and pay for collection. The quantities match the school’s records.
For this example, assume the school cannot recover the VAT on its purchase and does not have VAT to account for on the calendar sales.
Description
Amount
Qualifying order cost, including VAT
£764.10
Income from 30 calendar sales
£359.70
Refund due under the guarantee
£404.40
We refund £404.40 and provide the appropriate accounting documentation.
The school has recovered its qualifying calendar order cost through a combination of calendar sales and our refund, despite selling only 30 of the 200 calendars.
The same principle applies even if no calendars are sold, provided the school has made a genuine selling effort, meets the guarantee conditions and returns the unsold stock.
An unsuccessful claim
A community fundraising group orders 150 calendars but decides not to promote or offer them for sale.
Two months later, it asks for a refund because most of the calendars remain unsold.
The group cannot provide evidence of a genuine selling effort and does not make the unsold calendars available for collection.
The claim wouldn’t qualify.
The guarantee protects organisations that genuinely attempt to fundraise but don’t recover their qualifying order cost. It is not a general right to cancel a customised order or return unwanted stock.
Similarly, an organisation cannot give away calendars and then claim those copies as unsold.
If unusual circumstances have affected a claim, we’ll consider the explanation reasonably and in good faith.
6. Misuse of the guarantee and claim decisions
We take our No-Loss Guarantee seriously and will honour genuine claims, including where very few or no calendars have been sold.
We may investigate a claim where there are reasonable grounds to believe that information is materially inaccurate, sales have been deliberately misreported, stock has been withheld or the guarantee is otherwise being misused.
Where the evidence establishes dishonesty, deliberate misrepresentation or a material failure to meet the guarantee conditions, we may refuse the claim or reduce the payment to the extent reasonably justified.
We won’t make that decision lightly.
Before refusing or reducing a claim, we’ll explain the relevant concern and give you a reasonable opportunity to respond or provide further evidence.
If only part of a claim is affected by a discrepancy, we’ll consider whether the remainder can still be honoured.
We will not reject a valid claim simply because sales were disappointing or because your genuine selling effort resulted in no sales.
Nothing in this section affects any legal rights or remedies that cannot lawfully be excluded.
7. Other important information
What the guarantee doesn’t cover
The guarantee covers the qualifying calendar order cost only.
It does not guarantee that your fundraising activity will make a profit or cover separate expenses such as venue hire, event costs, payment-processing fees or delivery to individual supporters.
It does not cover products, services or quantities outside those confirmed as eligible in your Order Acknowledgement.
Faulty or incorrect calendars
If your calendars are faulty, damaged in transit or materially different from what was agreed, we’ll deal with that separately under our normal Trade Terms and your applicable legal rights.
You don’t need to rely on the No-Loss Guarantee to report a product fault.
Where a separate refund, replacement or credit has already been provided for the same cost, we’ll account for it to avoid paying twice for the same loss.
How these terms apply to your order
These terms are issued by Think Promote Limited.
They apply only where the No-Loss Guarantee is expressly incorporated into an accepted Order and confirmed in the Order Acknowledgement.
Where these guarantee terms conflict with our standard Trade Terms, these guarantee terms take priority for the operation and calculation of the No-Loss Guarantee, including the obligation to pay a refund properly due under it.
In particular, any general limitation of liability in our Trade Terms does not reduce a refund properly payable under this guarantee.
